The application for renewal was required to be filed at least 6 months prior to the end of their registration i.e. on or before 30-09-2025. In several cases, such Specified Persons have either not filed the Renewal Application before the due date or their renewal applications have been rejected by the Income Tax Department. In Rajasthan, a large number of cases have been rejected due to Non-Registration of the Specified Person under the Rajasthan Public Trust Act, 1959. In all these cases the \u201cEXIT TAX\u201d provisions as defined in Section 115TD of Income Tax Act, 1961 have been triggered. In this paper, based on our understanding we are answering key Frequently Asked Questions (FAQs) related to such cases and their implication under the Income Tax Act, 1961, for our clients:- <\/p>\n\n\n\n<p class=\"has-ast-global-color-0-color has-text-color has-link-color wp-elements-7fa20d71e61c2c8c97945a02cba8a151\">[NOTE \u2013 It is understood that this issue is new and subject to massive fallout for even some genuine Charitable Organizations. We expect the CBDT to issue some clarification, circular or notification to avoid genuine hardship to such Charitable Organizations.]<\/p>\n\n\n\n<figure class=\"wp-block-table\"><table class=\"has-fixed-layout\"><tbody><tr><td><strong>FAQ 1<\/strong><\/td><td colspan=\"7\">Who is a <strong>Specified Person<\/strong> on which these provisions apply?<\/td><\/tr><tr><td><strong>Reply<\/strong><\/td><td colspan=\"7\">Explanation (iia) of Section 115TD defines a specified person as below:- &nbsp; <strong><em>\u201cSpecified Person\u201d means \u2013<\/em><\/strong> <strong><em>(a)<\/em><\/strong><em> Any fund or <strong><u>institution<\/u><\/strong> or <strong><u>trust<\/u><\/strong> or any <strong><u>university<\/u><\/strong> or other <strong><u>educational institution<\/u><\/strong> or any <strong><u>hospital<\/u><\/strong> or other <strong><u>medical institution<\/u><\/strong> referred to in sub-clause (iv) or sub-clause (v) or sub-clause (vi) or sub-clause (via) of clause (23C) of section 10; or<\/em> <strong><em>(b) <\/em><\/strong><em>a<strong> <u>trust<\/u><\/strong> or <strong><u>institution<\/u><\/strong> registered under section 12AA or section 12AB<strong>;<\/strong><\/em><\/td><\/tr><tr><td colspan=\"8\"><strong>&nbsp;<\/strong><\/td><\/tr><tr><td><strong>FAQ 2<\/strong><\/td><td colspan=\"7\">When will the provisions of \u2018<strong>Exit Tax<\/strong>\u2019 u\/s 115TD apply?<\/td><\/tr><tr><td><strong>Reply<\/strong><\/td><td colspan=\"7\">As per Section 115TD(1), the \u2018<strong>Exit Tax<\/strong>\u2019 provisions are applicable where in any previous year, a <strong>specified person<\/strong> has\u2014 (a) <strong><u>converted into any form which is not eligible for grant of registration<\/u><\/strong> u\/s 12AA or 12AB or 10(23C); (a) the \u2018<strong><u>Date of Conversion<\/u>\u2019<\/strong> in a case where the specified persons convert <strong><u>into any form which is not eligible for grant of registration<\/u><\/strong> u\/s 12AA or 12AB or 10(23C); (date of conversion) for \u2018Exit Tax\u2019 under Section 115TD if a trust, holding a valid registration until 31st March 2026, applies for renewal within the prescribed time limit (i.e., on or before 30<sup>th<\/sup> September 2025), but the application is rejected on 10<sup>th<\/sup> March 2026 and registration cancelled vide orders dated 15<sup>th<\/sup> March 2026? &nbsp; What will be the date of Conversion:- a) Due Date for Application i.e. 30-09-2025; or &nbsp; b) Date of Rejection of Renewal Application i.e. 10-03-2026 &nbsp; c) Date of Cancellation i.e. 15-03-2026; &nbsp; d) Day after the natural expiry of the previous registration i.e. 01-04-2026?<\/td><\/tr><tr><td><strong>Reply<\/strong><\/td><td colspan=\"7\">For understanding the Specified Date in this case, we are discussing below the legal provisions applicable:- <strong>1. Non-Applicability of the &#8220;Failure to Apply&#8221; Clause: <\/strong>Since the trust successfully filed its renewal application within the statutory deadline i.e. before 30-09-2025 as per Section 12A(1)(ac)), it does not trigger Section 115TD(3)(iii), which deals with the <em>failure<\/em> to make an application. Therefore, the conversion date is not pegged back to the last date of application. <strong>2. Trigger Event &#8211; Cancellation of Registration: <\/strong>Under the procedures of Section 12AB, when the Principal Commissioner or Commissioner rejects a renewal application they are mandatorily required to pass an Order for Cancellation of the Registration under 12AA\/ 12AB\/ 10(23C). This specifically triggers Section 115TD(3)(i), which states: <em>\u201c(3) For the purposes of sub-section (1), a specified person shall be deemed to have been converted into any form not eligible for registration under section 12AA or section 12AB or approval under sub-clause (iv) or sub-clause (v) or sub-clause (vi) or sub-clause (via) of clause (23C) of section 10 in a previous year, if,-<\/em> <em>(i) the registration or approval granted to it under section 12\u0410\u0410, \u043e\u0433 section 12AB, or sub-clause (iv) or sub-clause (v) or sub-clause (vi) or sub-clause (via) of clause (23C) of section 10, has been cancelled;\u201d<\/em> <strong>3. Statutory Definition of the &#8220;Date of Conversion&#8221;: <\/strong>Once Section 115TD(3)(i) is triggered, the law provides an exact definition of what date must be used. <strong>Explanation (i)(a) to Section 115TD<\/strong> explicitly states: <em>\u201c&#8217;date of conversion&#8217; means\u2014<\/em> <em>(a) the date of the order cancelling the registration or approval, in a case referred to in clause (i) of sub-section (3);\u201d<\/em> <em>&nbsp;<\/em> <strong>Conclusion:<\/strong> Thus, in this case since the Tax Officer has passed a cancellation order dated 15-03-2026, Explanation (i)(a) of Section 115TD strictly applies. The order prematurely terminates the registration on the exact date it is passed i.e. 15th March 2026, thus superseding its natural validity period of 31st March 2026. Consequently, the trust must compute its Accreted Income based on the Aggregate Fair Market Value of its total assets and liabilities exactly as they stood on <strong>15<sup>th<\/sup> March 2026<\/strong>.<\/td><\/tr><tr><td colspan=\"8\">&nbsp;<\/td><\/tr><tr><td><strong>FAQ 12<\/strong><\/td><td colspan=\"7\">In the FAQ 11 above, in case if the Application for Renewal has been filed <em>after<\/em> the statutory time limit has expired i.e. after 30<sup>th<\/sup> September 2025, and this delayed application is subsequently rejected on 10<sup>th<\/sup> March 2026 and existing registration is cancelled via an order dated 15th March 2026. &nbsp; What will be the date of Conversion:- a) Due Date for Application i.e. 30-09-2025; or &nbsp; b) Date of Rejection of Renewal Application i.e. 10-03-2026 &nbsp; c) Date of Cancellation i.e. 15-03-2026; &nbsp; d) Day after the natural expiry of the previous registration i.e. 01-04-2026?<\/td><\/tr><tr><td><strong>Reply<\/strong><\/td><td colspan=\"7\">In this scenario, since the <strong><u>application has not been filed within the stipulated due date<\/u><\/strong>, the provisions of Section 115TD(3)(iii) will be immediately triggered. This section explicitly states that a specified person is deemed to have converted into a non-eligible form if:- &nbsp; <strong><em>\u201c(iii) it fails to make an application<\/em><\/strong><em> in accordance with the provisions of clause (i) or clause (ii) or clause (iii) of the first proviso to clause (23C) of section 10 or sub-clause (i) or sub-clause (ii) or sub-clause (iii) of clause (ac) of sub-section (1) of section 12A, within the period specified in the said clauses or sub-clauses, as the case may be, which expires in the said previous year.\u201d<\/em> <strong>&nbsp;<\/strong> <strong>Statutory Definition of the &#8220;Date of Conversion&#8221;:<\/strong> Since the trust&#8217;s situation falls under the &#8220;failure to apply&#8221; clause of Section 115TD(3)(iii), the law mandates a specific date of conversion. <strong>Explanation 1(i)(c) to Section 115TD<\/strong> defines the &#8220;date of conversion&#8221; as: &nbsp; <em>\u201c(c) the last date for making an application for registration under sub-clause (i) or sub-clause (ii) or sub-clause (iii) of clause (ac) of sub-section (1) of section 12A or for making an application for approval under clause (i) or clause (ii) or clause (iii) of the first proviso to clause (23C) of section 10, as the case may be, in a case referred to in clause (iii) of sub-section (3);\u201d<\/em> <em>&nbsp;<\/em> <strong>Conclusion:<\/strong> Thus, in this case as per Explanation 1(i)(c) of Section 115TD, the date of conversion shall be the last day on which the application should have been made. Therefore, the trust must compute its Accreted Income based on the Aggregate Fair Market Value of its total assets and liabilities exactly as they stood on <strong>30<sup>th<\/sup> September 2025<\/strong>.<\/td><\/tr><tr><td colspan=\"8\">&nbsp;<\/td><\/tr><tr><td><strong>FAQ 13<\/strong><\/td><td colspan=\"7\">In the FAQ 11 &amp; FAQ 12, what will be Income Tax Return (ITR) Forms applicable for FY 2025-26 and FY 2026-27 onwards?<\/td><\/tr><tr><td rowspan=\"4\"><strong>Reply<\/strong><\/td><td colspan=\"7\">The following ITR forms are applicable on the Trust, if its renewal application is rejected and registration is subsequently canceled by the tax officer in FY 2025-26:-<\/td><\/tr><tr><td colspan=\"2\">&nbsp;<\/td><td colspan=\"3\"><strong>FY 2025-26<\/strong> <strong>(Rejection Year)<\/strong><\/td><td colspan=\"2\"><strong>FY 2026-27 Onward<\/strong> <strong>(Subsequent Years)<\/strong><\/td><\/tr><tr><td colspan=\"2\"><strong>ITR Form<\/strong><\/td><td colspan=\"3\"><strong>Form No. ITR &#8211; 7<\/strong><\/td><td colspan=\"2\"><strong>Form No. ITR &#8211; 5<\/strong><\/td><\/tr><tr><td colspan=\"2\"><strong>Logical Reasoning<\/strong><\/td><td colspan=\"3\">Since, the trust&#8217;s application is rejected, it must compute its &#8220;Accreted Income&#8221; and pay the exit tax at the Maximum Marginal Rate. The specific statutory schedule required to declare this calculation, the fair market value of assets\/liabilities, and the details of amount paid for the exit tax via challan is <strong>Schedule 115TD<\/strong>, which is exclusively in the <strong>ITR-7 form.<\/strong><\/td><td colspan=\"2\">In all cases where a Trust\/ Society which is not eligible to file Form No. ITR \u2013 7, the Form No. ITR \u2013 5 has been prescribed as per \u201cInstructions for Filling Form No. ITR \u2013 5\u201d issued by the Income Tax Department. &nbsp; Form No. ITR \u2013 7 is applicable only for persons including companies required to furnish return under sections 139(4A) or 139(4B) or 139(4C) or 139(4D) only.<\/td><\/tr><tr><td colspan=\"8\">&nbsp;<\/td><\/tr><tr><td><strong>FAQ 14<\/strong><\/td><td colspan=\"7\">In case if the renewal application for Registration of a Trust u\/s 12AA or 12AB or 10(23C) has been rejected, then whether the entire Gross Receipts of the Trust will be taxable from the Subsequent Year or only the Net Income (after deducting expenses) is taxable under Income Tax?<\/td><\/tr><tr><td><strong>Reply<\/strong><\/td><td colspan=\"7\">If the renewal Application has been rejected, then the Trust is typically assessed as an Association of Persons (AOP). In this status, normal commercial principles apply for calculating Income. As a prudent standard, only the&nbsp;<strong>net income<\/strong>&nbsp;(surplus) of the Trust is generally taxable under the Income Tax Act and not the entire gross receipts.
